(San Francisco, CA) Represent & advise startups, venture-backed co's, emerging bus. in conn. w/ corp. lgl matters across their lifecycle, incl. entity formation, corp. governance, operational matters. Advise these clients in conn. w/ VC financings, incl. early & later-stage investments; structure pertinent transact.; prepare, review & negotiate associated principal transact. documentation. Advise these clients in conn. w/ exit transact. & other corp. transact., incl. mergers, acq.'s, other liquidity events. Represent & advise VC firms & other investors in conn. w/ VC financings, other investments. Advise these clients wrt investment structures; negotiate transact. terms; ensure compliance w/ applicable lgl & regulatory req's. $260,000 per year. Req'mts: JD or foreign equiv., CA Bar, 2 yrs of exp. in position or 2 yrs. of alternate occupational exp. performing complex emerging companies & growth outside advisory legal duties.
