IPOs, direct listings & SPACs, initial coin offerings & other token issuances & debt financing transact. Negotiate, prepare & review pertinent transact. documentation. Represent & advise founders in conn. w/ forming early-stage co's, incl. negotiating w/ incubators, preparing equity plan related docs, preparing IP conveyance docs, preparing tax & securities filings. Represent & advise investors, incl. strategic investors, privately held co's, publicly held co's, accelerators, angel investors, strategic investors, VC funds, banks & PE funds, in conn. w/ equity-based & debt-based investments & acq. of privately held co's. Negotiate, prepare & review pertinent transact. documentation. $365,000 per year. Req'mts: JD or foreign equiv. or Canadian JD, CA Bar, 3 yrs of exp. in position or 3 yrs of alternate occupational exp. performing complex emerging companies & growth outside advisory legal duties.
