Number: 30867 Date Posted: 2010/06/09 Yahoo!s Legal team is looking for an experienced attorney specializing in general corporate and securities matters. The attorney filling this role will provide advice and counsel to the Yahoo!Finance, investor relations,Public Relations,Human Resources, and stock administration teams, and may also partner with the corporate development, real estate and network operations teams. This attorney will participate in: - Preparation of the companys SEC filings, including 10-Ks, 10-Qs, 8-Ks and proxy statements;
- Preparation of earnings releases and other corporate communications;
- Oversight of global equity plans, including compliance with securities law and other requirements in all domestic and foreign jurisdictions;
- Maintenance of domestic and foreign subsidiaries;
- Management of corporate transactions, which may include MA transactions, real estate transactions and data center projects; and
- Other general corporate matters and special projects.
- Required Skills and Qualifications:
- Exceptional academic credentials
- 7+ years of relevant legal experience at a top-tier law firm and/or as an in-house legal attorney
- Detail-oriented and able to manage multiple projects simultaneously under deadline pressure
- Excellent oral and written communication skills, with ability to communicate legal subject matter to non-attorneys
- Excellent interpersonal skills; must work well in fast-paced, highly collaborative, team environment
- Excellent business judgment, ability to think strategically and give practical advice
- Prior in-house experience with a public company and/or experience working with Internet or high technology companies a plus.
